TERMS OF SERVICE

Welcome to Funmi Aderinokun LLC (“we,” “us,” or “our”). By accessing or using our services, you agree to comply with and be bound by these Terms of Service (“Terms”). Please read these Terms carefully before using our services. If you do not agree to these Terms, please do not use our services.
1. Scope of Services
Funmi Aderinokun LLC provides branding, rebranding, consultation, and ongoing support services (“Services”) to businesses. The specific scope of work will be outlined in individual contracts with clients.
2. User Responsibilities
- Accurate Information: You agree to provide accurate, current, and complete information as required for the provision of our Services.
- Timely Communication: You agree to communicate promptly and provide all necessary materials and information within the agreed timelines.
- Compliance with Laws: You agree to comply with all applicable laws and regulations in connection with your use of our Services.
3. Payment Terms
- Deposit: A non-refundable deposit of 50% of the total project cost is required to initiate the project.
- Milestone Payments: The remaining balance will be divided into milestone payments as outlined in the contract.
- Late Fees: A late fee of 2% of the overdue amount per month or a fixed fee of $50 will be applied to any installment not paid within 7 days of the due date.
- Suspension of Services: We reserve the right to suspend services if payments are delayed by more than 30 days.
4. Cancellation and Rescheduling
- Consultation Sessions: Cancellations or rescheduling must be made at least 48 hours in advance. Failure to provide 48 hours’ notice will result in the forfeiture of the session without a refund.
- Ongoing Support Services & Subscriptions: Cancellations must be made at least 30 days prior to the next billing cycle to avoid being charged for the subsequent month.
5. Confidentiality
Both parties agree to keep all confidential information disclosed during the term of the agreement in strict confidence and not to disclose such information to any third party without prior written consent.
6. Intellectual Property
Upon receipt of full payment, all intellectual property rights to the deliverables will be transferred to the client. We retain the right to use the deliverables for our portfolio and marketing purposes.
7. Limitation of Liability
To the fullest extent permitted by law, Funmi Aderinokun LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- Your use or inability to use our Services.
- Any unauthorized access to or use of our servers and/or any personal information stored therein.
- Any interruption or cessation of transmission to or from our Services.
- Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services by any third party.
- Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Services.
8. Indemnification
You agree to indemnify, defend, and hold harmless Funmi Aderinokun LLC and its affiliates, officers, agents, employees, and partners from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) that they may incur as a result of or arising from your violation of these Terms.
9. Dispute Resolution
Any disputes arising out of or in connection with these Terms shall be resolved through good faith negotiations between the parties. If the dispute cannot be resolved through negotiation, it shall be submitted to mediation or binding arbitration as agreed upon by both parties.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Kentucky, without regard to its conflict of law principles.
11. Amendments
Funmi Aderinokun LLC reserves the right to modify or replace these Terms at any time. Any changes will be effective immediately upon posting the revised Terms on our website. It is your responsibility to review these Terms periodically for updates.
